1. Introduction
Welcome to Tixert, a ticketing platform based in Ontario, Canada, where users can create and purchase tickets for various events. By accessing or using our platform, you agree to comply with and be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the platform. If you do not agree with these Terms, you may not use our platform.
2. Eligibility
By using Tixert, you represent and warrant that you are at least 18 years old or have reached the age of majority in your jurisdiction, and have the legal capacity to enter into these Terms. If you are using the platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Account Registration
To access certain features of the Tixert platform, including creating and purchasing tickets, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Tixert is not liable for any loss or damage arising from your failure to protect your account information.
4. Ticket Creation and Sales
4.1 Ticket Creation
Event organizers may create tickets for events using the Tixert platform. By creating tickets, you agree that the event complies with all applicable laws and regulations. You are responsible for providing accurate information about the event, including the date, time, location, and pricing.
4.2 Ticket Purchases
Users may purchase tickets for events listed on Tixert. All ticket purchases are subject to availability and the terms set by the event organizer. Prices and availability may change without notice. Tixert is not responsible for any errors in pricing or availability.
4.3 Payment Processing
Payments for tickets are processed through third-party payment processors. By purchasing tickets, you agree to the terms and conditions of the payment processor. Tixert is not responsible for any issues arising from the payment process, including delays, errors, or unauthorized transactions.
5. Refunds and Cancellations
Refund policies vary by event and are subject to the terms set by the event organizer. Please review the event-specific refund policy before purchasing tickets. Tixert does not guarantee refunds or cancellations and is not responsible for any disputes between buyers and event organizers. Tixert fees and payment processing fees are non-refundable.
6. User Conduct
You agree to use the Tixert platform in a manner that is lawful and respectful of others. You may not engage in any activity that is harmful, fraudulent, or violates the rights of others. This includes, but is not limited to, the following:
- Impersonating any person or entity.
- Posting false or misleading information.
- Engaging in any activity that could damage, disable, or overburden the platform.
- Using the platform to transmit any viruses, malware, or other harmful software.
7. User Content
By submitting content to Tixert, including event descriptions, reviews, comments, and other materials, you grant Tixert a non-exclusive, royalty-free, perpetual, and worldwide license to use, modify, reproduce, distribute, and display the content in connection with the platform. You represent and warrant that you have the rights to grant this license and that the content does not violate any third-party rights.
8. Intellectual Property
All content and materials on the Tixert platform, including text, graphics, logos, and software, are the property of Tixert or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any content or materials from the platform without the express written consent of Tixert.
9. Limitation of Liability
Tixert provides the platform on an "as is" and "as available" basis. Tixert makes no warranties or representations regarding the platform, including the accuracy, reliability, or availability of the platform. To the fullest extent permitted by law, Tixert disclaims all warranties, whether express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Tixert be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the platform, even if Tixert has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Tixert, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the platform, your violation of these Terms, or your violation of any rights of another party.
11. Changes to Terms
Tixert reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the platform. It is your responsibility to review the Terms regularly. Your continued use of the platform after any changes constitutes your acceptance of the revised Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Ontario, Canada, and you consent to the jurisdiction of the arbitration tribunal.
13. Termination
Tixert reserves the right to terminate your access to the platform at any time, with or without cause, and without notice. Upon termination, your right to use the platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
